Terms of sale

These terms apply to every sale of products by Solartec ("we", "us") to distributors, resellers and installation companies ("you"). Consumers buy our products through our resellers, whose own terms apply to those purchases. By placing an order you accept these terms; any terms in your purchase order that differ from them do not apply unless we accept them in writing.

1. Orders

An order is binding once we confirm it in writing. Our quotations are valid for 30 days unless they say otherwise. We may decline an order, for example where a product is out of stock or your account is overdue.

2. Prices and payment

Prices are those in our current price list or written quotation, exclusive of taxes, duties and transport unless stated. Payment is due as set out on the invoice. We may charge interest on late payments at the statutory rate and suspend deliveries until overdue amounts are paid. Products remain our property until they are paid for in full.

3. Delivery

Delivery dates are estimates given in good faith. Unless agreed otherwise, we deliver EXW (Incoterms 2020) from our warehouse, and risk passes to you when the products are handed to the carrier. We may deliver in instalments, each of which is invoiced separately.

4. Inspection and claims

Please inspect deliveries on arrival. Visible damage or shortages must be noted on the carrier's delivery note and reported to us within 5 working days. Other defects must be reported as soon as they are discovered.

5. Warranty

We warrant that our products are free from defects in materials and workmanship and perform as stated in their datasheets, for the following periods from the date of delivery to you:

• Solar panels: 12-year product warranty and a 20-year performance warranty (at least 80% of rated output).
• Battery storage: 10-year warranty, including at least 80% of original capacity at the end of the period.
• Heat pumps: 3-year manufacturer warranty on parts and labour.

The warranty applies only where the product has been installed, commissioned and maintained by a qualified installer in line with our documentation. It does not cover damage from accidents, misuse, unauthorised modification, incorrect installation, power surges or extreme weather beyond the product's rated conditions. Warranty claims are made through us with the product's serial number; where a claim is accepted we will, at our option, repair the product, replace it or refund its price. Full warranty terms are supplied with each product and prevail over this summary.

6. Liability

Nothing in these terms limits liability that cannot be limited by law. Otherwise, our total liability for any order is limited to the price paid for that order, and we are not liable for loss of profit, loss of business or any indirect or consequential loss.

7. Intellectual property

Our product names, logos, datasheets, images and software remain our property. Resellers may use them to market our products for as long as they sell them, and must stop when the relationship ends.

8. Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Any dispute that cannot be settled by negotiation will be brought before the courts of Delaware, unless a written distribution agreement between us provides otherwise.
